Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Naba platform, mobile and web applications, APIs, and related services (collectively, the “Services”) provided by bayanah Company Business Services, a limited liability company registered in the Kingdom of Saudi Arabia under Commercial Registration / National Number No. 7042231048, released on 23/10/2024(“Naba,” “we,” or “us”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation, and references to “you” include that organisation.
1. The Services
Naba provides a software-as-a-service platform for human-resources operations, candidate-pipeline management, public job postings, salary intelligence, and AI-assisted workflows including curriculum-vitae parsing, candidate fit-scoring, and conversational career assistance.
1.1 Account types
- HR Workspace accounts are used by employers and their authorised recruiters to manage candidate intake, roles, and pipelines.
- Candidate accounts are used by individuals seeking employment to maintain a profile, apply to roles, and optionally appear in the public marketplace.
Some features (such as cross-tenant marketplace visibility, paid plans, or premium AI capabilities) may be available only to certain account types or subscription tiers.
2. Eligibility
You must be at least eighteen (18) years old and legally able to enter into a binding contract under the laws of the Kingdom of Saudi Arabia (“KSA”) to use the Services. The Services are not directed to minors, and we do not knowingly collect personal data from anyone under 18.
3. Acceptable Use
You agree not to, and not to permit any third party to:
- use the Services for any purpose that is unlawful under KSA law, contrary to public order or to the principles of Islamic Sharia, or in breach of any applicable regulation;
- attempt to gain unauthorised access to the Services or any related systems, including conduct prohibited by the Anti-Cyber Crime Law (Royal Decree No. M/17);
- scrape, harvest, or otherwise extract data from the Services other than through documented APIs and within the limits we publish;
- upload content that is defamatory, obscene, hateful, deceptive, or that infringes the rights of others;
- impersonate any person or misrepresent your affiliation with any person or organisation; or
- interfere with the integrity, security, or performance of the Services, including by introducing malicious code or attempting to bypass usage limits.
4. HR Workspace Obligations
If you operate an HR Workspace, you specifically warrant and agree that:
- you have a lawful basis under the Personal Data Protection Law (Royal Decree No. M/19, the “PDPL”) and its Implementing Regulations to upload and process every item of candidate personal data you submit to the Services;
- you have provided candidates with all required notices and, where required, obtained their consent (including for AI-assisted screening and cross-border transfer);
- you are the data controller in respect of candidate data uploaded to your workspace, and Naba is your data processor acting on your documented instructions;
- you will configure retention, access, and consent settings appropriately for the jurisdictions in which you operate; and
- you will indemnify Naba for any third-party claim arising out of your unlawful upload or use of personal data.
5. Candidate Obligations
- You are responsible for the accuracy of the information in your profile, CV, and applications.
- You may include personal data only of yourself, and not of any third party (including referees, family members, or co-workers) without their permission.
- Marketplace visibility is opt-in. You may switch your profile to private at any time from your settings.
6. AI Features
Certain features of the Services use artificial-intelligence and large-language-model components, including third-party providers, to parse documents, draft text, score candidate fit, and answer questions. AI-generated output is provided as decision support only. It is not a substitute for human judgement. Hiring decisions must be made by qualified humans, and you agree not to rely solely on AI output to make decisions that produce legal or similarly significant effects on a candidate.
AI output may contain errors, omissions, or biases. We do not warrant that AI output is accurate, complete, or fit for any particular purpose. Where required, candidates have a right to request human review of automated decisions, as further described in our Privacy Policy.
7. Subscriptions, Fees and Taxes
Paid features are billed on the plan and cycle disclosed at checkout. Fees are stated exclusive of VAT and any other applicable taxes, which will be added at the prevailing KSA statutory rate (currently 15%). Unless otherwise stated:
- subscriptions auto-renew until cancelled;
- you may cancel a subscription at any time, with cancellation taking effect at the end of the then-current billing cycle;
- fees already paid for the current cycle are non-refundable except where required by KSA consumer-protection or e-commerce law (Royal Decree No. M/126); and
- we may change pricing on at least thirty (30) days' written notice, effective at the start of your next renewal.
8. Intellectual Property
Naba and its licensors own all rights in the Services, including software, models, designs, trademarks and documentation. You retain all rights in the content you submit to the Services (“Customer Content”). You grant Naba a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, adapt and process Customer Content solely as necessary to provide and improve the Services, comply with law, and produce de-identified, aggregated insights (such as salary benchmarks) that do not identify you or any individual.
9. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses for its own confidential information of similar importance, and in no event less than reasonable care. This obligation does not apply to information that is public, independently developed, or rightfully received from a third party without a confidentiality obligation.
10. Suspension and Termination
We may suspend or terminate your access to the Services if you materially breach these Terms, if your account is compromised, if continued provision would expose us to legal or regulatory risk, or if required by a court or competent authority. We will, where practicable, give notice and an opportunity to cure. You may terminate your account at any time. On termination, your right to use the Services ceases; data deletion is governed by our Privacy Policy.
11. Disclaimers
To the maximum extent permitted by KSA law, the Services are provided “as is” and “as available,” and we disclaim all warranties not expressly granted in these Terms, whether express, implied, statutory or otherwise, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted or error-free.
12. Limitation of Liability
To the maximum extent permitted by KSA law, neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, or data, arising out of or related to these Terms or the Services. Each party's aggregate liability under these Terms will not exceed the total fees you paid to Naba in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by KSA law.
13. Indemnification
You will indemnify and hold harmless Naba from third-party claims arising out of: (i) your breach of these Terms; (ii) your unlawful processing of personal data; or (iii) your Customer Content's infringement of any right.
14. Force Majeure
Neither party is liable for any delay or failure to perform caused by an event beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, government action, telecommunications outage, or failure of an upstream cloud provider.
15. Changes to the Terms
We may update these Terms from time to time. If a change is material, we will provide at least thirty (30) days' notice by email or in-product notification before it takes effect. Your continued use of the Services after the effective date constitutes acceptance.
16. Governing Law and Disputes
These Terms, and any non-contractual matter arising out of them, are governed by the laws and regulations of the Kingdom of Saudi Arabia and the principles of Islamic Sharia. The competent courts of the City of Riyadh have exclusive jurisdiction over any dispute, without prejudice to your statutory rights as a consumer where applicable.
For business-to-business disputes between Naba and an HR Workspace customer, the parties may, by written agreement, submit a dispute to arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) under its rules in force at the time, in Riyadh, in the Arabic language.
17. Notices and Assignment
We will send notices to the email address registered to your account. You may send legal notices to Naba at [legal@nabajobs.com]. You may not assign these Terms without our prior written consent; we may assign them as part of a corporate reorganisation, merger or sale of assets.
18. Language
These Terms are made available in Arabic and English. In the event of any conflict or discrepancy between the two versions, the Arabic version shall prevail.
